Agreement to Terms

By accessing or using BillMyAgent's services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access or use our services.

Description of Service

BillMyAgent provides non-custodial payments infrastructure for AI agents and marketplaces, powered by the x402 protocol. Payments settle directly wallet-to-wallet on-chain; BillMyAgent never takes custody of funds. Our services include but are not limited to:

• Non-custodial payment facilitation via the x402 protocol
• HTTP 402 paywall functionality for monetized endpoints
• Automatic payment handling in SDKs (sign with any viem signer)
• Subscription management with automatic renewal payments
• Payment links and hosted checkout for wallet-to-wallet USDC payments
• API access for payment operations (REST and GraphQL)
• GraphQL payment extensions for field-level monetization
• Webhook notifications
• Developer tools and SDKs (React, Vue, Web Components, Python)
• Signer-based payments (viem wallet client or server-side private key)

Account Registration

To use our services, you must:

• Be at least 18 years old
• Provide accurate and complete registration information
• Use a strong password (minimum 12 characters with uppercase, lowercase, and a number)
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account

API Keys and Security

You are responsible for maintaining the confidentiality of your API keys. You must:

• Keep your API keys secure and never share them publicly
• Rotate keys regularly and revoke compromised keys immediately
• Use API keys only for authorized purposes
• Comply with rate limits and usage restrictions

BillMyAgent is not responsible for any unauthorized use of your API keys.

Fees and Payment

Our transaction fees are clearly disclosed and may vary based on volume and service level. You agree to pay all applicable fees for services used. Fees are charged per transaction and are non-refundable except as required by law.

Payment Links

Payment links and hosted checkout let a merchant create a shareable request for a USDC payment. When a buyer opens the hosted checkout, they connect their own wallet and pay the merchant directly on-chain. The following terms apply:

• Single-use and expiring: each payment link is single-use and expires automatically (default 7 days, maximum 30 days). Once settled or expired, a link cannot be reused.
• Availability: payment links and hosted checkout are not currently offered to or for California residents.
• Merchant responsibility: the merchant is solely responsible for the correctness of each payment link, including the payment amount, the network (Base or Polygon; Base Sepolia for testing only), and the destination wallet address.
• Wallet-to-wallet settlement: the buyer pays the merchant directly, wallet-to-wallet, on-chain. BillMyAgent is not a party to the payment and never takes custody of, holds, escrows, or otherwise controls the funds.
• Non-custodial, final, and non-refundable: consistent with our non-custodial model, payments made through a payment link are final and cannot be reversed or refunded through the platform. Any refund — including any refund required by applicable law — is the merchant's own arrangement made off-platform, directly with the buyer, and the merchant is responsible for honoring any refund rights buyers hold under applicable law.

Settled payment links are subject to our then-current transaction fee (currently 1%), recorded and invoiced monthly on the same basis as our other services; the fee does not change the wallet-to-wallet nature of the payment. Current fees are published on our website.

Prohibited Uses

You agree not to use our services for:

• Illegal activities or transactions
• Fraud, money laundering, or terrorist financing
• Violation of any applicable laws or regulations
• Infringement of intellectual property rights
• Transmission of malware or harmful code
• Attempting to circumvent security measures
• Reverse engineering or unauthorized access to our systems

Intellectual Property

All content, features, and functionality of BillMyAgent services are owned by BillMyAgent and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

Service Availability

We strive to provide reliable service but do not guarantee uninterrupted or error-free operation. We reserve the right to modify, suspend, or discontinue services with reasonable notice. We are not liable for any losses resulting from service interruptions.

Limitation of Liability

To the maximum extent permitted by law, BillMyAgent shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

Indemnification

You agree to indemnify and hold harmless BillMyAgent from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our services, violation of these terms, or infringement of any rights of another.

Termination

We may terminate or suspend your account and access to services immediately, without prior notice, for conduct that we believe violates these Terms of Service or is harmful to other users, us, or third parties. You may terminate your account at any time.

Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify users of material changes. Your continued use of our services after changes constitutes acceptance of the new terms.

Governing Law

These Terms of Service shall be governed by and construed in accordance with applicable laws, without regard to conflict of law provisions.
